1. Introduction

These General Terms of Use (hereinafter the ‘Terms’) govern access to and use of the website FlowExam.com and the associated online learning platform (hereinafter the ‘Service’), intended for preparation for the TOEIC®.

By accessing our Service, you accept these Terms in their entirety without reservation. If you do not accept these terms, please do not use our platform.

2. Definitions

• ‘Service’ : the Flow Exam platform, website, mobile application and all related services offered.
• ‘User’ : any natural or legal person who accesses or uses the Service.
• ‘Content’ : all texts, images, videos, audio recordings, questions, tests and educational materials provided by Flow Exam.
• ‘Account’ : the personal account created by a User to access the Service.
• ‘Subscription’ : paid access to the Service under the defined pricing terms.
• ‘Data Controller’ : SAS Elite Education, a simplified joint-stock company registered in France.

3. Conditions for Access to the Service

3.1 Eligibility

• You must be at least 15 years old to use the Service.
• If you are under 15 years old, you must obtain the consent of your legal representative (parent or guardian).
• You warrant that all information provided during registration is accurate, complete and up to date.

3.2 Account Creation

• To access the Service, you must create an account with a valid email address.
• You are responsible for the confidentiality of your login credentials.
• Limit of 2 devices per account : you can log in on a maximum of 2 devices per Flow Exam account (1 computer + 1 phone). Beyond this limit, an error notification will appear and no additional login will be permitted.
• You are solely responsible for all activity carried out under your account.

3.3 Authentication

• Authentication can take place via:
  • Email and password
  • Google account
  • Other authentication providers
• You are responsible for maintaining the confidentiality of your credentials.
• You agree to notify FlowExam immediately of any unauthorized access to your account.

4. Plans and Pricing

4.1 Subscription Plans

Flow Exam offers several commercial plans:

• 1 month plan : automatically renewing monthly subscription (recurring payment every month, not a single payment), full access to the basic features.
• 3 month plan : single payment, full access to the basic features for 3 months.
• 12 month plan : single payment, full access to the basic features for 12 months.

Each plan includes, in particular:

• Access to the question bank (Listening & Reading)

4.2 Prices and Payment Terms

• The prices displayed are in euros and include applicable taxes.
• Prices may be changed at any time, with prior notice.
• Payment is made through secure providers: Stripe, PayPlug or another approved payment solution.
• Payment information is processed securely and in accordance with PCI-DSS standards.
• No bank card data is stored on our servers.

4.3 Recurring Subscription: 1 month plan

• The 1 month plan is an automatically renewing subscription. It is not a single payment.
• At the end of each one-month period, the subscription is automatically renewed for a further one-month period, on the anniversary date of the subscription.
• The applicable subscription price is charged automatically, at each renewal, to the payment method registered when subscribing, until the subscription is cancelled.
• You can cancel your subscription at any time, under the conditions set out in Article 5.1.
• The 3 month and 12 month plans are not recurring subscriptions and do not renew automatically (see Article 4.5).

4.4 Invoicing

• Invoices are sent by email to the address associated with your account.
• You can access your payment history in your personal area.
• Invoices are retained in accordance with accounting obligations (10 years in France).

4.5 Access Duration: 3 month and 12 month plans (single payment)

• The 3 month and 12 month plans are paid in a single payment and grant access to the platform for the duration stated in their name (the 3 month Plan grants access for 3 months and the 12 month Plan grants 12 months of access).
• There is no automatic renewal for these single-payment plans: at the end of the period, access ends without any further charge.

5. Cancellation and Refunds

5.1 Subscription Cancellation

• You can cancel your subscription at any time by simply emailing [email protected].
• To prevent the next renewal of the 1 month plan, cancellation must take place before the renewal date.
• Cancellation takes effect at the end of the month corresponding to the last payment made.
• Any month that has begun remains payable in full, even if cancellation occurs before the end of the month.

5.2 Right of Withdrawal

In accordance with French law and the European directive on consumer protection:

• You have a period of 14 calendar days from the date of purchase to exercise your right of withdrawal, where that right applies.
• This period applies only to one-off purchases (single payment) and to the initial subscription period for recurring plans, provided that you have not requested immediate access to the digital content.
• To exercise this right, contact us at [email protected] stating ‘Withdrawal’.
• Where applicable, a full refund will be issued within 14 days following confirmation of withdrawal.

Waiver of the right of withdrawal for digital content:

In accordance with Article L221-28 of the French Consumer Code, the user acknowledges that the mere act of requesting immediate access to digital content results in the automatic waiver, by operation of law, of their right of withdrawal.

This waiver is obtained by default at payment.

By confirming their purchase, the user agrees to the immediate commencement of the provision of the service and waives their right of withdrawal by default, in accordance with applicable legislation.

5.3 Refunds

• Subject to the Flow Exam Guarantee (Article 19), no pro rata refund is granted for cancellations during a period.
• Refunds are processed using the same payment method used for the purchase.
• Processing time: 5 to 10 business days.

6. Liability and Limitations of Warranty

6.1 Service ‘As Is’

The Service is provided ‘as is’ and ‘as available’. Without prejudice to the Flow Exam Guarantee set out in Article 19, FlowExam does not warrant:

• That the Service will be free of errors or interruptions.
• That the Service will meet your expectations or learning objectives.
• That results obtained on the platform predict your performance on the official TOEIC® test.

6.2 Availability and Maintenance

• Flow Exam strives to maintain maximum availability of the Service.
• Maintenance interruptions may occur without prior notice.
• Flow Exam will not be liable for damage resulting from service interruptions.

6.3 Limitation of Liability

• Flow Exam cannot be held liable for direct or indirect damage (loss of data, loss of income, non-material harm, etc.) resulting from the use of or inability to use the Service.
• Maximum liability : in no event will Flow Exam’s total liability exceed the amount paid by the User over the last 12 months.

6.4 No Professional Advice

• The Service is for informational and educational purposes only.
• Flow Exam does not provide professional, legal or financial advice.
• Estimated results are projections based on statistical data and do not constitute a guarantee, subject to the Flow Exam Guarantee set out in Article 19.

7. Intellectual Property

7.1 Flow Exam Content

• All content (questions, videos, articles, flashcards, explanations) is the exclusive property of Flow Exam or its partners.
• You are authorized to use this content only for your personal, non-commercial use.
• Express prohibition :
  • On reproducing, duplicating, copying or selling the content.
  • On modifying or adapting the content without authorization.
  • On sharing the content with third parties or distributing it publicly.
  • On creating derivative works based on our content.

7.2 TOEIC® Trademark

• TOEIC® is a registered trademark of ETS (Educational Testing Service).
• Flow Exam is neither affiliated with nor sponsored by ETS.
• Flow Exam is not an official TOEIC® testing organization.
• All tests and materials offered are simulations for educational purposes only.

7.3 Your Content

• If you create content on the platform (custom flashcards, notes), you retain ownership of it.
• By using the platform, you grant FlowExam a non-exclusive license to use it to improve the Service.

8. Acceptable Use

8.1 General Prohibitions

You agree not to:

• Use the Service for illegal or unauthorized purposes.
• Share your account or credentials with third parties.
• Attempt to circumvent the Service’s security or protection measures.
• Access unauthorized data or content.
• Use the Service for scraping, hacking or cyberattacks.
• Create multiple accounts to circumvent the Service’s limits.
• Distribute or sell access to the platform to third parties.

8.2 Limit of 2 Devices

• You can only log in on a maximum of 2 devices.
• An attempt to log in on a 3rd device generates an error.
• This restriction applies even if the logins are not simultaneous.

8.3 Copy/Paste and Printing Blocked

• Text extraction by copy/paste is disabled to protect the content.
• Printing web pages (Ctrl+P or menu) is blocked.
• The content is protected against unauthorized copying.

8.4 Parental Supervision and Minors

• Parents/guardians are responsible for minors’ use of the Service.
• Flow Exam may limit or suspend access in the event of a breach of the Terms.

9. Penalties for Breaches

9.1 Account Suspension

In the event of a serious breach of the Terms, Flow Exam reserves the right to:

• Temporarily suspend access to the account.
• Permanently terminate the account without a refund.
• Report breaches to the competent authorities if necessary.

9.2 Content Misuse

• Unauthorized sharing of content = immediate suspension.
• Attempt to circumvent security measures = permanent suspension.
• Harassment or abusive behavior = reporting to the authorities.

10. Personal Data and Privacy

10.1 Data Collection

Flow Exam collects the following data:

• Identification information (name, email, phone).
• Payment data (processed through secure providers).
• Usage data (test results, progress, time spent).
• Approximate location data (IP address).

10.2 Use of Data

Data is used to:

• Provide and improve the Service.
• Send transactional and follow-up emails.
• Analyze usage statistics.
• Comply with legal and accounting obligations.

10.3 GDPR Compliance

• FlowExam complies with Regulation (EU) 2016/679 (GDPR).
• You have rights of access, rectification, erasure and portability of your data.

10.4 Cookies

• Flow Exam uses cookies for the proper functioning of the Service.
• Explicit consent is requested for non-essential cookies.
• You can manage your cookie preferences at any time.

11. Notifications and Communications

11.1 Transactional Emails

Flow Exam sends you emails for:

• Payment confirmations and invoices.
• Progress notifications and reminders.
• Security or maintenance alerts.
• Information about your account.

11.2 Marketing Emails

• You can unsubscribe from marketing emails at any time.
• An unsubscribe link is included in every marketing email.

11.3 In-App Notifications

• Notifications may appear on the platform to inform you of updates or offers.

12. Affiliate Program

12.1 Access Conditions

• The affiliate program is open to all users.
• You must accept the affiliate terms before generating a link.
• Commissions are paid starting from a threshold of 50 € (subject to change).

12.2 Commission Rates

• Non-paying visitors : 10 % commission by default.
• Paying users : 40 % commission by default.
• Rates are configurable in the administrator interface.

12.3 Prohibitions for Affiliates

• Prohibition on using paid advertising (Google Ads, Facebook Ads, etc.) to promote your link.
• Prohibition on presenting yourself as an official representative of Flow Exam.
• You must always state that you are an independent affiliate.
• Non-compliance = suspension from the affiliate program.

12.4 Commission Payments

• Commissions are paid monthly once the threshold is reached.
• Payment by bank transfer (IBAN/RIB).
• Processing time: 5 to 10 business days after the request.

13. Statutory Warranties

13.1 Warranty of Conformity

• The Service conforms to the description provided on the landing page.
• We guarantee the quality and accessibility of the Service.

13.2 Security Warranty

• Flow Exam undertakes to protect your data through HTTPS/TLS encryption.
• We carry out regular security audits.
• In the event of a data breach, we will inform you in accordance with the law.

13.3 Availability Warranty

• We strive to maintain 99 % availability of the Service.
• Maintenance interruptions will be announced in advance where possible.

14. Changes to the Terms

14.1 Right to Amend

• Flow Exam reserves the right to amend these Terms at any time.
• Material changes will be notified by email or a banner on the website.
• A period of 30 days will be allowed before the changes take effect.

14.2 Acceptance of Changes

• By continuing to use the Service after the changes, you accept the new terms.
• If you do not accept them, you can cancel your subscription without penalty.

15. Final Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Flow Exam regarding the use of the Service.

15.2 Severability

If a provision is held to be invalid or unenforceable, the other provisions remain in effect.

15.3 Governing Law

• These Terms are governed by French law.
• Any dispute will be subject to the jurisdiction of the French courts.

15.4 Language

• The French version of these Terms is authoritative.
• Translations into other languages are provided for information purposes only.

18.1 TOEIC® Compliance

• FlowExam.com is neither affiliated with nor sponsored by ETS (Educational Testing Service), the official organization that created and administers the TOEIC® test.
• TOEIC® is a registered trademark of ETS.
• FlowExam.com has no official connection with ETS.
• The tests and materials offered are simulations for educational purposes only and are not official tests.

18.2 Legal Compliance

• These Terms comply with French law and European Directive 2011/83/EU on consumer rights.
• FlowExam complies with the GDPR and applicable data protection laws.

19. Flow Exam Guarantee

Up to +300 points guaranteed on the TOEIC®.

Otherwise, we will refund your subscription in full and refund your TOEIC® exam fee.

If we can offer a guarantee like this, and be the only ones to do so, it’s for a reason. We have already coached more than 1,500 test takers and refined our method over the years: we know exactly what it takes to help you improve.

What the Flow Exam guarantee covers (both refunds are cumulative):

• A full refund of your Flow Exam subscription.
• A refund of your official TOEIC® exam fee: the registration fee for the official TOEIC® test you take at the end of your preparation on Flow Exam (the one used to measure your score gain), up to a maximum of 180 € incl. VAT.

Example: you paid 117 € for the 3 month plan and 180 € for your TOEIC® exam. If you do not reach the minimum expected gain, we will refund you 117 € + 180 €, i.e. 297 €.

To be eligible for the Flow Exam guarantee, you must:

• Complete most of the Flow Exam program, including:
  • 100% of the Tips
  • 80 % of the Flashcards
  • 10 practice sets for each part (1 to 7)
  • 20 TOEIC® mock tests
  • A total of 60h on the platform
• Take the official TOEIC® test within one month after your subscription expires.
• Submit the ETS certificate for your previous TOEIC® score. The date of this first test must be no more than 6 months before you subscribe to Flow Exam.
• Submit the ETS certificate for your new TOEIC® score within 15 days of receiving the results.
• For the refund of the exam fee: submit, at the same time, proof of payment for your registration for this official TOEIC® test (invoice or receipt from ETS Global or the approved test centre), issued in your name. Only fees you paid yourself are refunded (not those covered by your school, your employer or another funder).

If your score has not improved by at least the expected amount, you will then receive, within 7 days, a full refund of your Flow Exam subscription, as well as a refund of your official TOEIC® exam fee up to a maximum of 180 € incl. VAT.
